| PART 1. General Terms and Conditions Governing the Use of RealRewards Privilege Card |

1.1
|
The RealRewards Privilege Card membership is a Loyalty Card Program operated by RealRewards Loyalty Sdn. Bhd. (the
"Company").
|

1.2
|
The RealRewards Privilege Card membership registered under your name entitles
you to use the RealRewards Privilege Card issued to you by the Company as a Card
to obtain (i) discounts, privileges and/or treats at RealRewards Privilege
participating merchants subject to the terms and conditions as stipulated in
Part 2 below; and (ii) bonus/reward points, known as RealRewards Points, at
RealRewards Points participating merchants and redeem your accumulated
RealRewards Points for goods and services from the Company subject to the terms
and conditions as stipulated in Part 3 below, when you patronize at the
respective participating merchants.

1.3 |
Your RealRewards Privilege entitles you to services and/or benefits that may be
added on by the Company from time to time, subject to the terms and conditions
that may be issued by the providers of such services.
|

1.4 |
In consideration of the services and benefits provided by the Company
(hereinafter referred to as “RealRewards Benefits”), unless sponsored or paid by
any person on your behalf or by any means as may be acceptable to by the
Company, the Company reserves the right to impose a participation fee of an
amount as may be determined by the Company from time to time to you for the
enjoyment of your RealRewards Privilege Card membership. Your RealRewards
Privilege Card membership may be automatically renewed with a new card on each
anniversary date of the issuance of the RealRewards Privilege Card
(“Anniversary”) for a 12-month period EITHER:

i)

By you paying the renewal service fee (“Annual Renewal Fee”) as may be determined
by the Company from time to time before the Anniversary date by means of cash or
cheque or any payment card that may be acceptable to the Company OR
|
|
ii)
|
By the Company successfully deducting RealRewards Points of an amount as may be
determined by the Company from time to time from the balance of your accumulated
and unredeemed RealRewards Points on the first day of each Anniversary.

|
1.5 |
The Company reserves the right to cancel your RealRewards Privilege Card membership or any of the RealRewards Benefits in the occurrence of any of the following events:
|
i)
|
If your RealRewards Privilege Card membership is not renewed either for a 12-month
period due to non-payment of the Annual Renewal Fee or insufficient RealRewards
Points for the Company's deduction as mentioned in Section 1.4 above;
|
|
ii)
|
If you fail to comply with any of the terms and conditions governing the use of
your RealRewards Privilege Card membership or any of the terms and conditions stipulated
in Part 2 or Part 3 herein or any of the terms and conditions stipulated by the
service providers of the RealRewards Benefits stated in Section 1.3 above.

iii)
|
If you abuse any of the RealRewards Benefits.
|
|
|
1.6 |
In the event of cancellation of your RealRewards Privilege Card membership, you
shall not be entitled to make any claim or ask for refund of the Initial Fee or
Annual Renewal Fee already paid to the Company or any RealRewards Points already
deducted by the Company for the use of your RealRewards Privilege Card
membership prior to such cancellation and you shall no longer be entitled to
enjoy any or all of the RealRewards Benefits, and your accumulated and
unredeemed RealRewards Points may, at the sole discretion of the Company, be
nullified and voided. |

1.7 |
You agree to the Company recording in its computer system your personal details
as may be supplied by you from time to time or by any person sponsoring your
RealRewards Privilege Card membership or as may be obtained by the Company from
any commercially available source, and you further agree that the Company shall
be entitled to use, for its benefits and/or the benefits of any party which it
has a business relationship with, in any manner and for any commercial purpose
as it deems proper and from time to time during and after the termination of
your RealRewards Privilege Card membership, your personal details and/or any
transactional data arising from your use of the RealRewards Privilege Card at
the RealRewards Privilege participating merchants and/or RealRewards Points
participating merchants and/or from any redemption activities of your
accumulated RealRewards Points from any channel that may be provided by the
Company. |

1.8 |
Your enjoyment of any of the RealRewards Benefits under the RealRewards
Privilege Card membership is expressly conditional upon your compliance with all
the terms and conditions governing the RealRewards Privilege Card membership
herein contained. |
|
1.9 |
The Company reserves the rights to amend any of the terms and conditions
contained herein by giving you a notice no less than fourteen (14) days prior to
any amendment and such notice shall be deemed to have been given by the Company
by:
|
i)
|
Placing such notice in a nationally circulated newspaper, or
|
|
ii)
|
Publishing such notice in its official web-site, or
|
|
iii)
|
Mailing such notice by ordinary mail to your address as recorded in the Company's
computer at the time of mailing such notice, or
|
|
iv)
|
Sending such notice via short messaging service (or commonly known as SMS).
|
|
|
1.10 |
The Company reserves the rights to suspend or terminate any or all of the
RealRewards Benefits in the event of any delay or failure by the Company to
perform its obligations as required by this agreement to the extent that such
delay or failure to perform is caused by a reason or circumstance beyond the
Company's control, including, without limitation, acts or omissions on your
part, non-performance by any third party, and failure or malfunction of computer
or telecommunications hardware, equipment or software, provided that the Company
could not have foreseen the specific reason or circumstance which caused the
delay or failure at the time of the conclusion of this agreement or could not
reasonably have been expected to have avoided or overcome it or its
consequences;

1.11 |
If the RealRewards Privilege Card issued to you is lost, stolen or damaged,
replacement card will be provided to you by you paying RM5.00 for each
replacement card or by the Company deducting 500 RealRewards Points from your
accumulated and unredeemed RealRewards Points. |

1.12 |
This Agreement and any action relating to this Agreement will be interpreted and
governed by the laws of Malaysia without regard to its conflicts of law
principles. |
|
1.13 |
By signing at the back of the RealRewards Privilege Card issued to you by the
Company, or by your first use of the RealRewards Privilege Card issued to you at
any RealRewards Privilege participating merchant or RealRewards Points
participating merchant you agree that you have read and understand and agree to
all the terms and conditions governing the RealRewards Privilege Card membership
herein contained and the respective terms and conditions of the respective
RealRewards Benefits issued by the Company or the service providers. |

| PART 2: Terms and Conditions Governing the Use of RealRewards Privilege Card
For Discounts, Privileges and Treats. |
|
2.1 |
You agree that while the Company has taken and will continue to take all
reasonable care to ensure that information it publishes in relation to the
discounts, privileges or treats as contracted by the Company with the
RealRewards Privilege participating merchants is accurate, it will not be liable
for any error or non-updated information as is or may hereafter from to time be
published by the Company or its agents. |

2.2 |
You agree that as the Company is only the arranger for you to obtain the
discounts, privileges or treats from the RealRewards Privilege participating
merchants when you patronize them, it is not responsible and will not be liable
for:

i)
|
Any unauthorized use of the RealRewards Privilege Card issued to you by the Company
to obtain discounts, privileges or treats at any RealRewards Privilege participating
merchants,
|
|
ii)
|
Any refusal by any RealRewards Privilege participating merchant to honour the RealRewards
Privilege Card (including any RealRewards Privilege Vouchers that may be provided
to you from time to time) issued to you by the Company for discounts, privileges
or treats for any reason, including the failure of the communication facilities
located between the premises of the RealRewards Privilege participant merchant to
the premises of the Company's computer systems, any damage or malfunction of the
RealRewards Privilege Card issued to you ;

iii)

Any goods or services you have purchased from any RealRewards participating merchant
with or without the use of the RealRewards Privilege Card (including any RealRewards
Privilege Voucher that may be provided to you from time to time) issued by the Company.

| PART 3: Terms and Conditions Governing the Use
of RealRewards Privilege Card as RealRewards Points Card to obtain RealRewards
Points. |
|
3.1 |
The terms and conditions governing the use of RealRewards Points Card as is or
may hereafter from time to time be issued by the Company as published in the
website www.realrewards.com.my or any other website or places as may be informed
by the Company from time to time shall apply at all time. |
